Texas-sized Disclosure

Due partly to an issue that the Texas Bar has with our corporate name (see below), and the burdensome cost and confusion to result were we to change our corporate name in both Texas and California, and also due partly to antiquated Texas Bar rules requiring expensive (and apparently elusive) pre-approval of all advertising including websites, compliance with which is impracticable with a modern, fully-functioning website, we have been forced to implement industry-standard geofencing to block Texas consumers using Texas IP addresses from accessing this website. Eventually we hope to start running ads in Texas after setting up a special one-page website for Texas consumers advertising the services of Attorney David R. Duringer, but it will be simple, lacking the full functionality of this website.

The Texas Bar understands that even industry-standard geofencing is not 100% effective, and so for the benefit of those few Texans who may yet gain access to this website despite our best efforts to block them using industry-standard geofencing, we provide the following disclosure to cure the supposedly misleading nature of our corporate name:

David R. Duringer is sole attorney and sole shareholder of Protective Law Corporation, a California corporation approved by the State Bar of California as a Law Corporation (#18250). A law corporation is a type of professional corporation, and California requires use in the name of an appropriate designator such as “Law Corporation” or “L.C.” or “Professional Corporation” or “P.C.” Protective Law Corporation is registered with the Texas Secretary of State to do business in the state of Texas. However, we have been notified by the State Bar of Texas that although Protective Law Corporation can do business in Texas, it cannot advertise in Texas because they consider use of the term “Corporation” in our name to be misleading due to the possibility that the public may think we are an association of multiple attorneys. We are informed that there is no black letter rule in Texas prohibiting use of the term “Corporation”, and that it is only the Texas Bar’s opinion that the term is misleading, and therefore we provide this disclosure to make clear that Protective Law Corporation is a solo practice. However, we strongly disagree with the Texas Bar’s conclusion that “Protective Law Corporation” is misleading. Use of “Law Corporation” in the name is much more specific than either “Professional Corporation” or “P.C.” in describing a corporation for the practice of law. And the Texas Bar’s stated concern that “Corporation” implies an association of multiple attorneys is unreasonable given that sole shareholder corporations are commonplace, and inapposite given that the Texas Bar itself proposes use of “P.C.” as acceptable even though it stands for “Professional Corporation” and there are many such entities with multiple shareholding attorneys.
